Terms of Service
1. Scope of Engagement
These terms govern all commercial interior fit-out, MEP, civil, styling and turnkey execution services rendered by The Design Store Commercial Interiors Pvt. Ltd. ("TDS", "we") to the corporate client ("Client") named on the executed Statement of Work ("SOW"). The SOW controls where it differs from these terms.
2. Design & Sign-off Phases
Every engagement proceeds through five gated phases: (a) Brief & Site Survey, (b) Concept & Space Plan, (c) Detailed Design & BOQ, (d) Execution & MEP Coordination, (e) Snagging & Handover. Written Client sign-off is required at each phase gate. Post sign-off change orders will be priced separately.
3. Site Access, Handover & Custody
The Client shall provide unimpeded site access, valid statutory permissions, base-build drawings, and building management NOCs before mobilisation. Care, custody and control of the site remain with the Client's landlord or facility team; TDS is responsible only for its personnel, tools and installed works within the demarcated fit-out zone.
4. Milestones, Timelines & Force Majeure
Execution timelines assume timely material approvals, uninterrupted site access, and a single point of contact from the Client's side. Delays attributable to the Client, third-party vendors, statutory bodies, natural events, civil unrest, epidemics, or acts of God shall extend timelines on a day-for-day basis without penalty to TDS.
5. Payments & Retention
Standard commercial terms: 30% mobilisation, 30% at concept sign-off, 30% at 70% execution, 10% retention released on snagging closure. GST is applicable extra. Invoices are payable within 7 working days. Delayed payments attract interest at 1.5% per month.
6. Warranty & Defect Liability
Workmanship carries a 12-month defect liability period from date of handover. Material warranties pass through to the Client from the underlying OEM (Saint-Gobain, Merino, Hafele, Steelcase, Syska, etc.) per each manufacturer's stated terms. Consumables, wear items and Client-inflicted damage are excluded.
7. Intellectual Property
Concept sketches, mood boards, 3D renders, working drawings and BOQs remain the intellectual property of TDS until final payment is received. Post final payment, the Client receives a perpetual, non-exclusive licence to use the design for the executed premises. TDS retains the right to publish executed projects for portfolio and marketing purposes with a 90-day embargo on named-client attribution, waivable in writing.
8. Confidentiality
Both parties shall keep confidential all non-public business, technical, financial and personnel information disclosed during the engagement. This obligation survives termination by three years. Client-identifying photography will not be released without prior written approval.
9. Termination
Either party may terminate for material breach with a 15-day written cure period. On termination the Client shall pay for all services rendered and materials procured up to the termination date, plus reasonable demobilisation costs.
10. Governing Law & Jurisdiction
These terms are governed by the laws of India. Courts at Mohali, Punjab shall have exclusive jurisdiction. Prior to litigation, parties shall attempt resolution via a nominated mediator for at least 30 days.
